End User License Agreement

This End User License Agreement ("Agreement") is a legal agreement between you ("User" or "you") and Asset Resource ("Asset Resource," "we," "us," or "our") governing your access to and use of the software, applications, and platform functionality made available through www.asset-resource.com (collectively, the "Platform"). This Agreement governs your license to use the Platform itself; it does not govern the sale, purchase, or listing of equipment, which is addressed in our Terms and Conditions. By accessing or using the Platform, you agree to be bound by this Agreement. If you do not agree, do not access or use the Platform.

1. License Grant

Subject to your compliance with this Agreement, Asset Resource grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for its intended purpose — browsing, listing, bidding on, and purchasing industrial equipment — for your own personal or business use. This license does not grant you any ownership interest in the Platform.

2. License Restrictions

You agree not to:
  • Copy, modify, reverse engineer, decompile, or disassemble any part of the Platform, except to the extent such restriction is prohibited by applicable law.
  • Rent, lease, sublicense, sell, resell, or otherwise transfer access to the Platform to any third party.
  • Use automated tools (bots, scrapers, crawlers) to access, index, or extract data from the Platform without our prior written consent.
  • Circumvent, disable, or otherwise interfere with security-related features of the Platform, including account authentication.
  • Use the Platform to build a competing product or service.

3. Ownership and Intellectual Property

The Platform — including its underlying software, source code, design, features, and all associated trademarks and logos — is the property of Asset Resource or its licensors and is protected by copyright, trademark, and other intellectual property laws. This Agreement does not transfer any intellectual property rights to you, and all rights not expressly granted here are reserved by Asset Resource.

4. Account and Access

Use of certain Platform functionality (creating listings, placing bids, viewing account-specific data) requires a registered account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Access to the Platform is licensed to you individually and may not be shared with unauthorized users.

5. Updates and Availability

Asset Resource may update, modify, or discontinue any part of the Platform's features or functionality at any time, with or without notice. We do not guarantee that the Platform will be available at all times or free from interruptions, errors, or defects.

6. Third-Party Components and Services

The Platform may incorporate or link to third-party software, services, or components, including analytics, payment processing, and financing services (such as Substrate). Your use of any such third-party component is subject to that provider's own license terms, in addition to this Agreement.

7. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. ASSET RESOURCE DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ASSET RESOURCE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF, OR INABILITY TO USE, THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. This limitation applies to your use of the Platform's software and functionality; matters relating to a specific purchase or sale transaction are addressed under our Terms and Conditions.

9. Termination

This Agreement and the license granted under it remain in effect until terminated. Asset Resource may terminate this Agreement and your access to the Platform at any time if you fail to comply with any term of this Agreement. Upon termination, your right to access and use the Platform ends immediately.

10. Compliance with Laws

You agree to use the Platform in compliance with all applicable local, state, federal, and international laws and regulations, including any applicable export control laws.

11. Governing Law

This Agreement is governed by the laws of the State of Texas, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to this Agreement will be subject to the exclusive jurisdiction of the state and federal courts located in Harris County, Texas.

12. Changes to This Agreement

We may update this Agreement from time to time. The updated Agreement will be posted on this page with a new "Last Updated" date. Continued use of the Platform after changes take effect constitutes acceptance of the revised Agreement.
