IPS SCR House Notwithstanding anything to the contrary, Seller shall have the sole and absolute right, in its discretion and without obligation to provide explanation, to decline to sell, transfer, or otherwise dispose of any listed asset where Seller determines that such disposition would be objectionable, commercially unreasonable, or could reasonably present a competitive or strategic disadvantage to Seller, regardless of whether such disposition would otherwise be lawful or permissible under applicable law, and any such determination shall be final, binding, and shall not constitute a breach of this Agreement or give rise to any liability, damages, equitable relief, or other obligation on the part of Seller.
